Auto Tanny Issues... Dead?

Hey guys,
I am having problems with my 98' accord lx auto tranny. She is a 4 cly auto and has 140k miles. When the tranny is cold, I have no problems. As it warms up I start to have issues. When it down shifts, mostly from 2nd to 1st, there is a loud thud and jerk on the car. When I accel, she slips really bad when up-shifting, the engine revs, then she SLAMS into the next gear. Sometimes it slips so bad it wont go into the next gear and i just roll down the road as if i were in neutral. I have to either manually put it in 2nd to get it in gear or neutral then back to D4 and then it slams into the gear that it should be in. The other day, it wouldn't shift past 2nd when I was in D4 and I am stuck going 35-40mph with the engine whining.
I did an tranny oil change about two months ago and used dex-III and just did another one yesterday and the fluid was BURT to a crisp. No shavings and barely any metalic slug. Also, dont have a blinking D4 light either.
So, is she dead?? Should I replace with a referb tranny. Could I get away with just replacing the torque coverter and any other parts? The car is only worth $2,500 but I cant afford to get a new one.
Thanks for reading my long post... any help or advice would be greatly appreciated.

the 98-01 automatics are known to have major issues. Your transmission is probably done. You could replace it, or have it rebuilt, but there is no guarantee it wont happen again.
