Wrapping muffler and getting rid of cat

It's pretty quiet since I got rid of the leaks, but, the muffler shell has rusted and is kinda partly falling off... is it best to just wrap it with sheet metal or should I also try to put some insulation (fiberglass) or anything around it? It has a kind of straight break almost the length of it, so about have of the casing is just hanging down a little. .

Also, the cat is OEM with 190k on it... The car seems to run fine, but I'd like to just eliminate it and sell it to this guy I know. Will the car get upset? I know on some cars that will upset the computer or cause a lack of backpressure which can be troublesome ....

Thanks :)

I would get a new muffler and tell him you'll split the cost with him if he wish's..

He'll give me $50 for the cat + the labor on welding a straight pipe in for me but he doesn't want to mess with the muffler unless I pay for a new one which wrapping it = $5 so I'll do that since I am so poor :D
